SAN MARCOS MEN’S CLUB

STATEMENT OF PURPOSE
AND
BYLAWS OF THE ORGANIZATION
As amended and adopted Jan. 21, 2006
STATEMENT OF PURPOSE: The San Marcos Men’s Golf Club was established to: Promote camaraderie and competition among its members through its own tournaments, social events and newsletter. Promote respect for the rules of the game of golf and to conduct all its affairs for the unselfish benefit of the entire membership.
ARTICLE 1 – NAME
Section 1. The name of the organization shall be San Marcos Men’s Club, hereafter referred to as “the Club.”
ARTICLE II – MEMBERSHIP
Section 1. On graduating from high school or having received an exemption, any male who is a full-time resident of the State of Arizona may become a member of the Clubupon payment of dues
Section 2. A majority of those voting at a general membership meeting is required to approve a membership exemption.
ARTICLE III – OFFICERS
The Board of Directors of the organization, hereinafter “the Board,” shall be composed of the following: President, Vice President, Secretary, Treasurer and Handicap Chairman. Section 1. Members of the Club shall elect officers of the organization by a simple majority vote. The election shall be by nominations and open ballot voting at a general membership meeting or through a written process. Nomination of officers must be in the hands of the Secretary no later than Oct, 30. Elections must be held by Nov. 30 to ensure a smooth transition of officers on Dec. 15.
Section 2. Effective with the election of officers for 2007 and beyond, the Handicap Chairman becomes an elective position. A candidate for Handicap Chairman must have completed USGA training seminars and have received USGA certification.
Section 3. Any time the office of President should become vacant, the Vice President shall become the President of the organization for the remainder of the term.
Section 4. If any other Board position should become vacant, the Board shall appoint a Club member to fill the vacancy for the remainder of the term.
Section 5. Each Board member shall have one vote.
Section 6. If the rules of golf or local course rules are questioned or become an issue of debate, the Vice President, the Handicap Chairman and one other Club member or golf course official, such as the head professional, as appointed by the Vice President, shall serve as an ad hoc Rules Committee. The committee may bring a rules issue to the Board or make an immediate ruling, if necessary. The ruling is final.
ARTICLE IV – DUTIES OF OFFICERS AND CHAIRMEN
Section 1. The President shall preside at all meetings and act as an ex-officio (non-voting) member of all committees.
Section 2. The Vice President shall assume the duties of President in his absence and be responsible for Club tournaments, including pairings, assigning tee times, collection of tournament fees and procurement and distribution of prizes.
Section 3. The Secretary shall keep minutes of all board meetings and general membership meetings. He will also serve as Membership Chairman and maintain a current listing of the organization’s membership, which will be updated twice each year. He will submit at the beginning of the year a current membership list, with names, addresses and telephone numbers to all board members. He also will establish and conduct recruitment of new members and conduct Club elections.
Section 4. The Treasurer will keep a record of all receipts and an itemized account of all disbursements of funds. He will prepare checks for disbursement of funds. He will be responsible for a Treasurer’s report at each Board and general membership meeting. The Treasurer will submit a complete listing of all persons who have paid their annual handicap dues to the Handicap Chairman not later than Dec. 31. The Treasurer will provide the Board a complete financial report at each Board and membership meeting. The Treasurer’s records and books will be subject to audit upon notification by the President. The President may, at his discretion, appoint an Audit Committee composed of the Vice President and the Secretary at any time and request an audit of the Club’s treasury by a certified public accountant.
Section 4a. The Club’s banking account shall be registered only in the name of San Marcos Men’s Golf Club and shall be separated from any other account. Both the President and the Treasurer must be signatories on the account.
Section 4b. Any expenditure more than $500 will require the signatures of both the President and the Treasurer. The Treasurer shall be bonded for this position.
Section 4c. All expenditures must be for matters directly related to and/or benefiting the purpose and activities of the Club. Should a question arise regarding the appropriateness of an expenditure, the Treasurer shall consult the Board, and a majority consensus should be reached for the expenditure.
Section 5. The Handicap Chairman is responsible for collecting and correlating handicaps one per month and posting the handicaps by a week prior to the next Club tournament. The handicap system will be reviewed annually and, after consultation with the membership, will be adopted by the Board as early as possible in the new calendar year. Members must pay the tournament entry fee for each event to be included in handicap calculations.
Section 6. The Board, under the guidance of the President, shall ensure that: The Club’s Statement of Purpose is upheld; Committee chairmen and committees function properly; All authorized and appropriate debts are paid by the Treasurer; Club activities and functions in general are governed, except when a situation requires a vote of the general membership.
ARTICLE V – MEETINGS
Section 1. General membership meetings shall be held when deemed necessary by the Board or the President, but not fewer and two (2) times annually. Notice of the meetings shall be announced in the Club newsletter and posted in the Club for meeting dates and times. An agenda for the meeting will be handed out at the meeting. A simple majority of the member present shall constitute a quorum at general membership meetings.
Section 2. The order of business at all Club meetings will be as follows: A. Call to order; B. Reading and approval of minutes of preceding meeting; C. Unfinished business; D. Reports of officers; E. Reports of standing committees; F. New business; G. Adjournment.
Section 3. The Board shall meet at least four times during the calendar year at a time and place fixed by the President. The President shall contact each member of the Board at least five (5) days prior to the meeting.
Section 4. The President or any two (2) members of the Board may call an emergency meeting of the Board at any time, provided the Secretary or President has phone or e-mailed to each Director a notification of the meeting, stating the business to be brought before the Board.
Section 5. Three members of the Board shall constitute a quorum at any meeting of the Board.
Section 6. Robert’s Rules of Order Revised shall be the final authority as to parliamentary procedure at all meetings, insofar as they do not conflict with any provision of the organizations Bylaws.
ARTICLE VI – DUES
Section 1. The yearly membership dues of this Club shall be determined as stated in Section 4. Any changes in dues structure or amounts (as determined by the Board) shall be provided to the membership via newsletter and posted in the Club.
Section 2. Membership dues shall be payable no later than Dec. 15 and shall be delinquent on Dec. 31 of each year. Yearly membership dues shall constitute membership from Jan. 1 to Dec. 31, inclusive. New membership dues may be prorated by quarters only after March 31.
Section 3. No personal shall have membership or voting privileges while delinquent in payment of his dues.
Section 4. The membership dues may be changed by a majority vote of the Board.
Section 5. In consideration of providing Club services, the Board shall have its membership dues and USGA handicap dues paid by the Club.
ARTICLE VII – MEMBERSHIP POLICIES
To ensure positive relations among Club members, their guests and San Marcos owners and employees, certain behavior will not be permitted while involved in Club functions and may result in suspension of membership privileges and/or payment to the appropriate party or parties an agreed upon amount of damages for destruction or damage to property belonging to San Marcos, a staff member, a Club member or guest.
Section 1. Suspension might result for any action that results in unsafe conditions or practices, uncivil or discourteous manners, willful misconduct or an action than unfairly or unreasonably impairs the rights and privileges of others or causes damage to the property of others.
Section 2. Suspension might result for using loud, profane, derogatory, indecent or abusive language or any physical abuse, threat, harassment or any other such action against members, guests or golf course staff.
Section 3. Actions taken against a member for violation covered in Sections 1 and 2 shall be a decision of a majority of the Board.
ARTICLE VIII – AMENDMENTS
Section 1. These Bylaws may be amended at any time, requiring two-thirds majority vote of the membership present, provided two weeks notice of amendments has been given.
